How does a Client know when a BRAIN is available?
You do not need to worry about it. You will be asked to state how much time you require, and three time slots when you are free. e.g. 40 mins and I’m free from 9am to 12noon on Monday, Tuesday and Wednesday. The system will prevent you from selecting times that the BRAIN has set as unavailable. The BRAIN can then select a start time the fits with your schedule and their own. You will be asked to reconfirm the start time before the meeting is considered agreed.
What if a BRAIN is not available at the requested time?
If the BRAIN cannot be available at any of your suggested times, they simply decline the meeting and suggest a new time. You can then arrange a new meeting in accordance with their free-time.
How do I find those I have pinned, responses to service requests and dealt with before?
If you click on the imgin the top left of the screen, you will be taken to your home page. There you will find a carousel that automatically personalises to your use of the site. It creates new tabs to show those that you have pinned and those BRAINs that you have dealt with previously. If you have requested a service or asked to be notified if there is potential work, again new tabs will automatically be added to your carousel with responses to those requests.
What benefits does video offer a Client?
In addition to being a rich medium for communication, video can help Clients evaluate a BRAIN before engagement. Video helps to provide a better answer to following questions:

  • Can I understand the person and are they articulate?
  • Do I have a positive vibe about him or her?
  • Does the person seem to have the right background?

How do I update my personal information?
As a Client everything you will need is under that ACCOUNT menu. As a BRAIN the bulk of the items are under the BRAIN PROFILE menu and the BRAIN SETUP submenu. Please note, the following details cannot be changed for security and invoicing reasons except by the site admin; these are: your name, a company's name, number and tax number, your country and currency.
Forgot your Password?
If you have forgotten your password, don't worry just go to the sign-in page as normal and then click the "forgot your password?" link. You will then be asked for your email adress and an email will be dispatched with instructions.

Who CANNOT become a BRAIN?
The site is aimed at servicing those seeking professional advice, council and tutoring. In view of this, we explicitly do not allow the following: any services that could be regarded as for entertainment or that could prey on the hopes of desperate people. These include:
  • Vice or vice related services e.g. pornography or gambling etc.,
  • The occult e.g. fortune-telling or spiritual guidance etc., and
  • Religious services or education from any religion.
How do I become a BRAIN?
The initial registration process for a Client and BRAIN are identical. Thus at the end of the Client registration process you will be asked if you wish to proceed to register as a BRAIN. In the event that you have been a Client and now wish to become a BRAIN, there is a simple process to follow. The Become a BRAIN Setup link is found under the BRAIN PROFILE menus.
What are the requirements to become a BRAIN?
Very little; you will need:
  • To be a professional or have appropriate experience or training in your given service area.
  • If you have a VAT / sales TAX code, you must complete that part of the form.
  • You must add at least one service.
Technically, you will need:
  • Broadband, a webcam and headset with a built-in microphone.
  • Photo and ideally a short video presenting yourself (optional requirement).
What does it cost to become a BRAIN?
Nothing. It's absolutely free!
How does the commission compare with the competition?
At DIALaBRAIN you, as a BRAIN, can keep the vast majority of your fee - ranging from 81% up to 95% with no minimum fee being charged by the site.
What are the commission rates on DIALaBRAIN?
  • 19% as a BRAIN, where we introduce the client
  • 5% if you introduce the client to the site (a Referral)
What are Referrals and why are their commission rates so low?
As a BRAIN you are given a unque friendly URL to access the site. If a new user comes to the site having used your friendly URL and then registers on site for the first time on that same visit, then that new Client will be your Referral. Each Client can only be associated with one BRAIN, so be sure to introduce your existing Clients before others do. If you delay you may not be able to take advantage of the very low Referral commission rates.
If unfortunately you just tell the new user the site address or they fail to use the link that you gave them, or indeed they are already registered on the site, we cannot associate the Client with your account and they will not be considered your Referral.
What do I get paid?
Within limits, you can charge what you like. Remember, this is your business; we are just here to help you. We recommend that you charge your normal rates.
If you are really unsure what to charge, look to see what others are charging in your particular area. If your skills are comparable, then perhaps you can use their pricing as a guide. You are then paid for your time at the given rate at the price you stipulated.
How can I increase my earnings?
There are several factors that affect a BRAIN's earnings. As this is an important area, it has its own guide: How to market yourself.
Why can’t I set my fee at the lowest price point?
We set a minimum fee for every Service in each of the three currencies that we support. Let’s say a British supplier sets their fee at the UK minimum of 19.9 UK pounds. This equates to about 22 Euro or 32 US dollars. In order to allow each currency to have “Price Pointing” at sensible prices we would set the minimum for the three currencies to: 19.9 GBP, 19.9 Euro and 29.9 USD. This means that there are always slight differences across the different currency on the minimum fee.
What information can I load to the site?
Each BRAIN / company may present the following information on his or her services:
  1. A BRAIN / company overviews
    • Includes introductory text, static photo and video profile.
  2. Service overviews
    • Includes introductory text, supplementary information and service specific videos.
  3. Your work history and qualifications.
    • Includes notes and relevant dates.
  4. Web Presence

What areas of expertise do the BRAINs cover?
The site is designed as a professional resource for companies and individuals alike. BRAINs are welcome from most any field of expertise. The main areas we are initially developing are: Business, Finance, Legal, Medical, Education, Engineering, IT, Science, Writing & Translation. We also have created a "Miscellaneous" section for knowledge and expertise areas that fall outside of these core areas.
DIALaBRAIN does not premit services related to: religion, gaming, fortune-telling, pornography, or any service that could otherwise be deemed unlawful or vice related. Please inform us if you see anything of this nature.

How can I trust a BRAIN that I have never met?
At DIALaBRAIN, we know that trust is critical to successful relationships. Before you, incur costs, we feel that it is important that you know who you are dealing with. Check the BRAIN's online profile, work experience and qualifications. If they have links to their company, personal blog, LinkedIn accounts, then check these too and see that everything seems consistent. Additionally body language or "non-verbal" communication provides between 40% and 90% of the meaning we derive from personal interactions. In view of this, we recommend that if a BRAIN has loaded a video, watch it, or if they offer a free introductory session, take advantage of that to interview them and make up your own mind.

Can I interview BRAINs?
Yes, although this process may not be free. Initially we suggest that you message the BRAIN with a brief outline of your issue. If it is not their field, they should be able to tell you. It is not in their interest to get negative Feedback, so they should be careful about accepting work for which they are not qualified.
The next step is to talk to the BRAINs. Check to see if the first session is free or you can limit the call to 10 -15 minutes so that you can evaluate if you want to fully engage the BRAIN.

DIALaBRAIN cannot vouch for the quality of BRAINs' services. We strongly advise you to both read the Feedback and to check their credentials and links to other sites before engaging them. If a BRAIN offers a free introductory period, take advantage of that so that you can better judge the BRAIN.
If, once you are in a call, the BRAIN falls short of the mark, then simply end the call so that you are not continuing to spend money on a poor service. Think of it as if you were buying a service from the high street. If you did not like the service you would get up and walk out; this is no different. You may then leave poor Feedback so that you protect others. However, be aware that you are legally responsible for what you say about a BRAIN.
What if I booked an hour session and the meeting ends early?
Clients are only charge for actual time connected.
How do I register as a Client?
Just click on the Register link and you are almost there. As someone seeking a service, we need very little of your information. However, as this is a site for professionals, we ask that you register with your real name.
When you actually come to buy a service, if you are VAT or Sales Tax registered you will also be asked for the relevant details. This is a requirement as the VAT / Sales Tax rules often effect how the TAX is calculated and represented on an invoice.
Can I also register as a BRAIN?
Yes. The registration process for a Client and a BRAIN are basically the same, the only difference is that the BRAIN completes more of the registration process.
Why as a Client do you need my VAT or Sales Tax details?
As DIALaBRAIN allows cross border transactions, we need to know the TAX status of both the BRAIN and Client to complete the invoices correctly.
Why as a Client am I charged PayPal fees?
Whenever you buy goods or services the cost of your payment method has been calculated by the vendor and included into their pricing. With an internationals site like this those costs can vary widely. Thus to prevent local sales subsidising international sales we calculate the exact cost on a per case basis.
How much does a live video call cost?
  • The BRAIN's cost per-minute.
  • The length of the call in minutes.
  • Call cost = BRAIN's time cost/min x No. of minutes
What reassurances can you give about spending money at DIALaBRAIN?
Client the site will not take your money, but merely get authorisation to bill you until after the meeting is confirmed. Once DIALaBRAIN holds your money, none of it is passed to the BRAIN until after the service or product is delivered and any refund due has been issued.

What if I have a bad connection?
If either party has a poor connection or you end the call within 90 seconds, then there is no charge. If either party drops out of a call, you both can simply sign back in. You are only charged for the time that both you and your BRAIN are online.

How do I withdraw my earnings?
On the “Financials” menu there is an option to “Withdraw earnings”. Simply let us know how much you wish to withdraw and as long as you have input PayPal registered email, we will process the payment. The PayPal fee for withdrawing the money is treated as your expense.
How often are payments made?
The frequency of the payments is your decision. If you have earnings, they are yours to access as and when you please.
What are the commission rates on DIALaBRAIN?
  • Free meetings are subject to no costs.
  • An "Admin Fee" of 5% is charged on ALL fee bearing meetings.
  • A "Finders Fee" of 14% is added to the Admin Fee of 5% if DIALaBRAIN introduces the Client.
What are Referrals and why are their commission rates so low?
If you refer one of your existing Clients, or if through your own marketing efforts a new Client comes to the site and registers, having used your friendly URL, we call this a Referral. The friendly URL allows us to associate that new Client with your account. As it was your marketing effort that brought the Client to the site, we charge a very low commission to reflect your efforts. With only 5% commission on your Referrals, you can bring your existing customers online and give them more face-to-face time without the need to travel.
If the Client is already registered on the site when you introduce them, then they do not qualify as a Referral, or if they come to the site not having used your friendly URL, then we cannot credit you with their referral.
How do I minimise my PayPal fees?
As a BRAIN, make fewer and larger withdrawals. If you do not hold the currency being transferred, then you may wish to consider adding that currency to your PayPal account.

How does DIALaBRAIN handle security?

How the site works?
  1. Search for a skillset that you need.
  2. Select an BRAIN from a database of professionals.
  3. Have a web conference with your chosen BRAIN.
How scheduling works?
1. The Client states the duration, plus 3 convenient time slots.
2. If the BRAIN accepts the meeting, they select a start time from one of the time slots.
3. If the Client confirms the meeting, payment is taken at that point (if due).
How billing works
  1. The Clients pay fees plus VAT/GST (if applicable) on confirmation of the booking into a ring-fenced account.
  2. After the meeting, fees are returned or paid forward based on the actual duration of the meeting in a pro rata manner.
  3. An invoice and statement are issued marked as PAID. The statement shows what was paid on behalf of the Client.
Making payments
  1. Authorise fee: When you book an appointment if there is a fee you are asked to authorise a payment at the time of making the booking.
  2. ESCROW: Once a meeting is confirmed by both parties payment is taken and held in ESCROW. The fee is based on the number of minutes that you book.
  3. No show: If you don't show up or if you cancel the meeting with short notice (less than 24 hrs), your BRAIN's fee is subject to a 33% penalty. This does not apply if the meeting was book less that 24 hrs in advance.
  4. Pay per minute: You pay only for the time (in minutes) that you are connected with the BRAIN. Any remaining balance "in escrow" is returned to you. An invoice marked PAID will be issued on behalf of the BRAIN along with a invoice “statement” from DIALaBRAIN.
Receiving payments

Payment on the site are processed 10 minutes after the meeting’s scheduled end time. This mean that whether your are paying for a service or earning fees from a service you will see the relevant credits on site soon after the end of any meeting.

As a Client once the payment is processed, balances will be redeposited into your PayPal account. As a BRAIN the credit is held on your on site account and can be withdrawn at your leisure.

Under the "FINANCIALS" menu, there is a submenu called "Withdraw earnings". Simply state the amount that you want to withdraw and we will do the rest. Payments may take up to 72 hours to process. Payments are not processed on Public Holidays and weekends.

Feedback

Clients are able to give detailed feedback on the service they received on BRAIN's performance. DIALaBRAIN’s feedback is split into Professionalism, Communication, and Subject Knowledge, and it is available on the individual BRAINs and their services. Thus, at a glance you can see the BRAIN’s overall feedback and service feedback.

DIALABRAIN uses PayPal for all payments. Money is ring fenced on PayPal until after a meeting has expired and only then is distributed and refunded as appropriate.

Interacting with persons via email or telephone does not allow us to assess their body language (or "nonverbal" cues), which generally provides between 40% and 90% of the meaning we derive from personal interactions. At DIALaBRAIN, we know that trust is critical to successful relationships. We have transformed this concern into a core functionality through our "web-conferencing suite". Using DIALaBRAIN, the Client can determine for themselves whether they can understand the BRAIN, whether the BRAIN communicates in a style that suits them, and whether he or she has a positive impression. Moreover, by hearing and seeing, and using a wide-range of e-tools, Clients are more likely to understand what is being conveyed.

As a Client, you can browse the site and evaluate the relevant BRAINs based on the information that they have uploaded as well as the feedback and recommendations given by other Clients. The BRAINs are able to upload information about themselves that will help you differentiate between them. This data includes: work histories, educational qualifications, professional qualifications, their Web Presence - i.e. links to their company website, LinkedIn accounts, blogs, etc. profile videos that give an overview of the BRAIN and service videos that may demonstrate a skill set or profile experience. Once you have an idea of which BRAINs are of interest to you (based on profiles, videos, downloads, and Web Presence), you can contact them directly via the website and schedule a preliminary chat.

Interviewing and conducting a meeting
  1. Search the BRAINS: When you carry out a search, you can Pin a BRAIN's profile, send them messages, review any demo work, etc. before engaging them.
  2. Make Appointment: Just schedule an appointment and await its confirmation. If there is a fee, then the money required for the proposed duration of the meeting is put into "ESCROW", but no money is passed on to the BRAIN at that point
  3. Video Interview: If BRAINs offer a free 1st session, you can use that to help evaluate if they are right for you. Even if the session is not free, you can schedule a brief paid appointment before fully engaging a BRAIN.
  4. Have Your Meeting: The first 90 seconds of your meeting are used to check that you have a good connection. If you hang up in those first 90 seconds, there is NO CHARGE.
  5. Pay for the Meeting: When you finish your meeting, you are billed only for the time (in minutes) the balance is returned immediately.
The benefits for BRAINs

You will never need to miss another sales lead. Now with the DIALaBRAIN button, you can put the request a meeting functionality on your Linkedin profile, company website, email signature, even as a QR code on a business card. The feature starts a process that takes fees (if due), sets-up meeting rooms, and even issues invoices.

You can have several buttons, each one directing the client to a specific service. Thus on your own website’s service page you can have a request a meeting button next to each service. That button not only will direct the Client to a meeting with a specific member of staff, but charge the appropriate fee (assuming it is not a free first meeting). Having a first meeting via video is the next best thing to meeting in person. It is a vital step to winning new business.

All sessions between BRAINs and Clients, use DIALaBRAIN's "web-conferencing suite". A minimum broadband connection of 2 mpbs download and 0.4 mbps upload is required. You can test your connection speed by going to www.speedtest.net and clicking on begin test.

  • Webcam: The webcam will NOT start automatically; you will be asked if you want to use it.
  • Headset: Ideal as it avoids feedback and leaves your hands free. Or,

It is in your interest, as a BRAIN, to develop an in-depth service profile of what you can offer prospective Clients. DIALaBRAIN encourages all BRAINs to be creative in presenting themselves, to differentiate themselves by using all available e-tools, and to establish their own "brand" on the site. Getting good feedback is vital to getting your profile noticed. If you currently have existing Clients, why not ask them to buy your services through the site? In this way, you will benefit from getting early feedback from existing Clients. How to pay almost no commission

Your personal “Friendly URL” is attached on the bottom of every email that we send to BRAINs. Instructions on how to use the URL are also in the emails. To benefit fully from the link, you should pass it on to existing Clients, friends, and colleagues that will navigate directly to your profile on site. You may use that link within your signature file in emails, on other online profiles such as your: LinkedIn, Facebook, blog or company websites, or on any online promotional material. There are some key reasons why you would want to do that.

Make sure to send your "Friendly URL" to your existing Clients. This is very improtant for two reasons:

Getting your initial feedback: Most Clients will only give work to BRAINs with feedback, making getting your initial feedback an important first hurdle. As existing Clients already trust you, they will not need to see feedback to purchase your services - thus they are able to help you on your way.

Paying almost no commission: If you introduce your Clients to the site, the referred Clients discount will apply, i.e. you will only pay 5% commission on any business that you do with that Client. On the other hand, if someone else introduces your Clients to the site, then you cannot benefit from that discount.

Writing a service profile

When Clients search by service (e.g. they could search for a “VAT” specialist or “pneumatic engineer”), what they are looking for is someone with specific knowledge in that area. Therefore, having relevant terms in your profile is critical to being found. However, do not be tempted to create a whole list of disparate terms as it is neither convincing nor pleasant to read. You want to be found by those that you can help, not by everyone else, as this wastes their time and yours. Below is an example service profile written by part-time physics tutor.

“I am a PhD candidate reading physics at Warwick University. As part of my role at the University, I also work as a teaching assistant. As such, I am familiar with the difficulties that many students have in grasping certain theories. If you are having difficulty with your “A” level physics, I am very familiar with all aspects of the current syllabus. I also have a great deal of prepared study materials for first year university students that will simplify some of the harder aspects of the A level curriculum. If you have any questions, just send me a message or fix an appointment. If you want to get a better idea about my teaching methods, download my sample crib sheet or watch the video I have uploaded....."

Writing a personal profile

The personal profile is there to tell Clients who you are. We all prefer to deal with people that we feel comfortable with, that we can relate to in some way. Similarly, Clients want to feel that they have some degree of trust in the BRAIN. A great profile is a clear, concise and honest description that paints a picture of who you are. The search is not focused on the words in the personal profile; however, when a Client finds your service profile, the BRAIN profile tab becomes available to them. Below is an example BRAIN profile written by legal professional.

“I am a former university lecturer of business law at Brunel University's business faculty and am a fully qualified commercial barrister, having been called to the Bar in 1982. In my professional life, I concentrated on publishing, intellectual property law and litigation pertaining to those areas of law. I am a partner at Beckett and Harris and have been with the firm for twelve years. In my personal life, I am an avid fly fisherman and prolific reader across many topics. Given my love of reading, I have recently taken up copy editing and proofreading."

Photos and creating the right image

A Good Photograph Provides Security: Getting the basics right is the first critical step. Clients search the site using search terms that reference your "Service Profile", so whether you appear in the search results has little to do with your photograph. However, when they come to select a profile to look at, one of the first items they see is your photograph. Thus it is very important to look the part and to look approachable. Additionally, there is a security issue. When the Client does have a web-conference with you, they want to know that they are dealing with the person in the photo and not someone standing in for them.

A Professional Portrait
Put up a good clear photograph of yourself. Clients want to know whom they are dealing with. Our site allows you to crop an image so that the Clients can see your face clearly. If you make it too small or if the image is unclear, this makes it difficult for the Client to know whom they are dealing with. Your image is the first step towards building a connection.
Do not Misrepresent Yourself
Do not be tempted to put up a photo of a model. Once your Clients realise that it is not you, they may question your credibility and integrity. It is critical in business to build trust. Additionally, there are security concerns if the BRAIN is not the person in the profile photograph. If you are not the person in the photo, we actually recommend that the Client reports you. If we uphold the complaint, your BRAIN account will be suspended and may later be removed.
Look Professional
If you are a management consultant, it builds the Clients confidence if you look like on.
If you advise on forestry management, perhaps take a photo on location or have a prop that completes the image.
A Professional Photograph is not Required
Clients are looking to connect with a real person that they can relate to. A professional picture may help, but with a little effort and free software (available on the Net) you can quickly modify existing photographs to give yourself options on how you wish to present yourself. These photographs were prepared from the original in a few minutes by an individual with very little graphics experience.
How to market yourself

As a BRAIN, you will need to present yourself well in order to be differentiated from other BRAINs of the same or similar services. We have provided below several ideas to help you improve your presence on the site and attract the maximum number of qualified Clients for your services.

  • Make sure to send your "Friendly URL" to your existing Clients – you will find this on the bottom of all the emails that we send you. This is very important, as many Clients will only give work to BRAINs with feedback; it also cuts our commission to only 5% if you are credited with their introduction. Remember to set-up your Find Clients settings. We will then notify you automatically whenever someone requests your listed skill sets.
  • Create a great profile, with a good photograph or, better yet, a good profile and service videos. The aim is not to be found on every search, but to be found by every relevant search. You do not want everybody contacting you, but only those that are seeking your skills. In this way, no one’s time is wasted.
  • Make sure that you describe your service accurately and provide excellent services that match those descriptions. This is the best way to ensure positive feedback. Good feedback encourages not only more business,(many Clients prefer to select based on feedback), but it also improves your ranking so that you are found more frequently. Good feedback also enables you to increase your charges.
  • Create good videos. It is easy to record a simple video using a webcam. Make sure that you sit close enough to the camera so that your face and expressions are clearly visible. It is best to arrange good lighting, use the best microphone that you have available to you, and have a plain background. Prepare flash cards to prompt you and then speak naturally, but with enthusiasm about your area of expertise, giving detail of experience, qualifications and even past work. Also, clearly state what areas you feel you can help with. Post the video on the site and indeed other sites such as YouTube and create links back to your profile with a DIALaBRAIN friendly URL.
  • Do not try to keep a Client on the line if you know you are not helping them. While keeping them on the line will increase your charges on that call, it will lead to poor feedback. Poor feedback is very damaging to your profile and will badly damage your earning potential. Try to assess the Client’s need before you start charging so that you can be confident in your response. Then, if you need to prepare or carry out research before your session, you can do so.
  • Offer a free introductory session. This is very much a judgment call and depends on the nature of your service. However, free introductory sessions allow you to demonstrate your competence and build rapport. These sessions can often be short, but should be long enough for you to fully appreciate the Client’s needs and establish your ability to help them. This allows you to prepare well for your first paid-for session with that Client.
  • Make good use of your Web Presence links. This feature will help you, as it addresses a common fear on the Internet: “who am I really dealing with?”. In the offline world we are able to visit offices and get a feel for who a person is and the organisation that he or she works for. Online, we need to work hard to create that confidence. Through the BRAIN profile and other information provided on the site, Clients create a picture of whom they are dealing with. However, you giving access to your Web Presence helps bring your offline reputation online and is a critical step in building confidence.
  • We provide a "Friendly URL" linking to your profile. This is a key tool that helps you in two ways. First the Client is directed directly to your profile on site Second, he or she will be classified as “referred Client”. DIALaBRAIN charges only 5% commission on all referred Clients. Thus, wherever the "Friendly URL" is followed from your email, blog, company website or even social networking site, you will be eligible for that commission discount.
How much does DIALaBRAIN cost
All Users It’s FREE to join, create and browse profiles on DIALaBRAIN.
Clients You pay the BRAIN's listed hourly fee (billed by the minute, so you only pay for what you use). There is NO additional markup or charges to consult with a BRAIN.
BRAINs DIALaBRAIN make its fees from a revenue share. If you are not earning we are not earning! Thus if you’re having a free meeting or webinar, there is no charge.

Friendly URL

As a BRAIN you have a Friendly URL (FURL). The FURL can be used to lower your revenue share costs and to promote your profile. Those Clients that followed your FURL to join the site will be marked as your referrals. Any fee generating meetings between yourself and your referrals will only be subject to the admin fee of 5%.

Your have several FURLs, all of which use your BRAIN Handle. When you set up your BRAIN profile you will be asked for a BRAIN Handle. The site suggest your Firstname.Lastname e.g. Sue.Smith, but you can change this to your company name or service as long as the handle is unique. e.g. if you are a traffic lawyer you could use Traffic.Law or Apex.Co.

A. General

1. The Website

The website www.dialabrain.com (the “Website”), owned and operated by DIALaBRAIN Ltd., a private limited company organised under the laws of England and Wales (the “Company”), is a web-based forum that matches persons or entities seeking certain personal and professional services with the providers, or -BRAINs, of those services (the “BRAINs”). These Terms and Conditions apply to those persons or entities that register to use the Website as a Client of services (the “Clients,” and each a “Client”). The Terms and Conditions governing use of the Website by BRAINs can be found here. By registering for use of the Website, the Client agrees to be bound by these Terms and Conditions, as well as the Privacy Policy of the Company (the “Privacy Policy”), which is incorporated herein by reference. You will find the Privacy Policy by clicking here. These Terms and Conditions along with the Privacy Policy constitute the “Agreement” between you, as Client, and the Company.

By registering for use of the Website, you represent that (i) you, if a physical person, have the legal capacity to enter into contract and that you are at least 18 years of age, or, (ii) if the registered user is a legal entity (or other unincorporated group of more than one person), you are legally authorised to represent such entity or group. Please read the entirety of these Terms and Conditions before registering for use of the Website, as use of the Website constitutes a binding agreement between you and the Company. The Company reserves the right to modify these Terms & Conditions without prior notice. Any modifications will be posted on the Website before they come into effect. You are encouraged to read the Terms & Conditions on a regular basis to ensure that you are aware of any modifications. The version of these Terms & Conditions in force at any given date will govern the relationship between you and the Company. If for any reason you do not wish to be bound by or cannot comply with these Terms and Conditions, please do not register for use of the Website.

The Website is owned and operated by the Company. All intellectual property used on the Website is either owned by the Company or an affiliate of the Company, or is licensed from third parties pursuant to a valid license agreement. The Company makes no representation or warranty that the Website will function as intended without interruption or error, and the Company hereby disclaims any and all liability in this respect. In particular, but not by way of limitation, the Company does not make any representations or warranties regarding the proper functioning of any third party software or platform that the Company uses or relies upon to ensure the full functionality of the Website.

As a matter of policy, the Website does not accept the offer or provision of the following services: gaming, gambling or betting (upon payment or without payment), card-reading, Tarot or other forms of fortune-telling or acting as a so-called “medium” or the equivalent, or religious or other denominational services. The Company will decide at its own discretion whether any of the foregoing or similar services are being offered on the Website and reserves the right to delete any such services at any time. If you, as a user, notice that any of the foregoing services are being offered on the Website, please notify the Company at your earliest convenience at admin@dialabrain.com.

2. The Services

DIALaBRAIN is designed to allow BRAINs of a variety and range of personal and professional services (including related products) to meet the needs of Clients of such services and to create a marketplace for Clients and BRAINs to come together during a pre-booked “session” the time of which is mutually-agreed (“Session”) through the use of the Website and its video-conferencing facilities (collectively, the “Services”). To register for use of the Website, you must comply with the provided requests for information, including inter alia., the full name of the person (on his or her own behalf or on behalf of an unincorporated group of persons) or entity, address, and email, and, if a legal entity, the legal entity’s or company name and identification number, VAT number, if applicable, and authorised signatories. In addition, all BRAINs will need to provide details of the PayPal account into which the Company can make relevant payments according to these Terms & Conditions. (Click here to establish a PayPal account.) The Company shall use the email address provided by the BRAIN as the BRAIN’s unique identifier. You will also need a password of your own choosing, unless you access the Website via social sign-in, in which case no password is retained for your account. Our obligation to verify the identity and other details of registered users is limited to those set forth hereafter in Rights and Obligations of the Company.

The Company does not verify the credentials and qualifications of the BRAINs and has no obligation to do so beyond those obligations set forth hereafter in Rights and Obligations of the Company. The Company makes no representation or warranty that a BRAIN is willing and/or able to provide services meeting the expectations of the Client or that a BRAIN is qualified for the particular category for which it is registered on the Website. It is the Client’s obligation to independently verify that the BRAIN is competent to render the services and as such that the BRAIN purports to be competent to provide. The Company encourages Clients to particularly scrutinise the services offered by BRAINs, rendering services in respect of any professions, such as medical doctors, dentists, mental health professionals, lawyers, accountants, etc., to ensure that such BRAINs possess the relevant qualifications necessary to meet the needs of the Client. Towards this end, all BRAINs are requested to complete the relevant form regarding the BRAIN’s profile upon registration on the Website. In that form, each BRAIN is requested to provide relevant details of the BRAIN’s educational and professional qualifications. It is in the BRAIN’s interest to ensure that these details are accurate and up-to-date. See form here.

THE COMPANY DOES NOT ENDORSE, RECOMMEND, VERIFY, EVALUATE OR GUARANTEE ANY SERVICES RENDERED BY BRAINS VIA THE WEBSITE, AND NEITHER THE COMPANY, ITS AFFILIATES, SHAREHOLDERS, DIRECTORS, EMPLOYEES, NOR AGENTS WILL BE LIABLE FOR ANY DAMAGES INCURRED BY A CLIENT OWING TO SUCH CLIENT'S RELIANCE ON ANY SUCH SERVICES RENDERED BY A BRAIN, AND THE BRAIN SHALL HOLD THE COMPANY HARMLESS FOR ANY DAMAGES SOUGHT BY A CLIENT IN RESPECT OF THE BRAIN'S SERVICES. THE CONTRACTUAL RELATIONSHIP REMAINS BETWEEN BRAIN AND CLIENT, AND THE COMPANY DOES NOT ACT, NOR SHOULD IT BE DEEMED TO BE ACTING, AS AN AGENT OF EITHER BRAIN OR CLIENT.

The BRAIN hereby release and agree to hold harmless the Company, its affiliates, shareholders, directors, officers, employees, agents, successors, advisors, consultants, and assigns from any and all causes of action and claims of any nature resulting from the acts of any Clients contacted or with whom they otherwise come into contact via the Website.

Clients are required to authorise the payment amount upon the booking of a meeting. Payments shall be taken (captured) only upon the confirmation of the meeting by both Client and BRAIN. Failure to confirm the meeting by either Client or BRAIN voids the authorisation. If the transaction is cross-border, or if a currency conversion is required, the relevant PayPal rates for that date will be used. After the relevant Session has ended, the Company will make the relevant payment to the BRAIN. No fees are payable if the Session lasts less than 90 seconds, as determined by DIALaBRAIN’s webserver UTC clock. In the event of a dispute regarding payment, please see item 6 (Dispute Resolution between Users of the Website) below. If the Session that was booked and confirmed more than 24 hours in advance is cancelled by the Client within 24 hours of the scheduled time in such booking, then 33% of the relevant payment will be paid to the BRAIN. If the Client does not appear for the Session, then 33% of the relevant payment will be paid to the BRAIN (“No-Show Fee”), provided that the BRAIN had entered the Session and waited at least 10 minutes beyond the scheduled Session time. If the Session was scheduled for less than 10 minutes, and the BRAIN is available for the entire scheduled period, then the BRAIN is entitled to his or her fee for such period. If the Client enters the Session after more than 10 minutes and the BRAIN is still in the Session, then the Session is deemed to commence when the latter of the BRAIN and the Client entered the Session, and the No-Show Fee is not applicable. All payments (including the No-Show Fee and all refunds) are subject to transaction fees imposed by Paypal. As such, Clients agree to bear the Session cost plus the PayPal transaction fees. No refunds shall be issued where the e-banking fee is greater than or equal to the requested refund due. In this case the amount will accrue. The Company has no other obligation beyond those obligations set forth hereafter in Rights and Obligations of the Company.

The Website also enables user feedback as well as a recommendation system whereby Clients may recommend BRAINs based on their experience with such BRAINs via the Website. BRAINs hereby release and agree to hold harmless the Company, its affiliates, shareholders, directors, officers, employees, agents, successors, advisors, consultants, and assigns from any and all causes of action and claims of any nature, including, but not limited to defamation, resulting from the acts of any Clients in respect of the user feedback and/or recommendation system enabled by the Website.

B. Specific

1. Rights and Obligations of the CLIENT

Subject to your compliance with these Terms & Conditions, as may be modified from time to time, you have the right, as a registered user, to access the Website, view the information provided thereon, and otherwise use the Services as intended by the Company. Your right to do the foregoing is non-exclusive, limited, revocable, subject to termination by the Company as set forth herein, and cannot be assigned, sub-licensed, or otherwise transferred.

As a registered user of the Website, you must comply with these Terms and Conditions, as may be modified from time to time, as well as applicable law. If you choose to submit information to the Company, you thereby represent and warrant that such information is accurate, and that the submission of such information does not infringe on the rights of any third party. You also have the obligation to keep such information updated at all times to ensure its accuracy. If you believe at any time that any other person or entity is using your identity in a way that you have not authorised, you must immediately inform the Company of such unauthorised use as provided herein. You have the obligation to maintain the security of your password, as chosen by you, and you remain liable for your account activity until you have notified the Company of misuse and have received written confirmation from the Company (by email or otherwise) that it has received such notice. Please note, in this respect, that you should be particularly careful when accessing the Website on a shared computer. The Company accepts no responsibility for the consequences of such unauthorised access.

If you choose to use the Services, you have the obligation to transact the services that you have sought with a BRAIN identified on the Website via the Website and to accept to pay for such services directly via the Company, including all applicable taxes.

The Company acts solely as intermediary in respect of payments, and, therefore, you agree that the Company may deduct and withhold via the Website the relevant amount for the services purchased by you. Services are billed based on the price provided by the BRAIN and the time spent interacting with the Client, based on increments of one (1) minute. Please note that in respect of any Session, it is the time tabulated by DIALaBRAIN’s webserver UTC clock that determines the billable amount of time spent during a

Session, and which, in turn, is used to establish the relevant invoice. A Session formally begins only when both the Client and the BRAIN are in the Session according to our server logs, and such Session formally ends when either the Client or Provide exits from such Session based on our server logs. You agree to abide by the time for a Session as determined by DIALaBRAIN’s webserver UTC clock. Furthermore, you, as the Client, agree not to pay a BRAIN directly for the services provided. Subject to the Company’s involvement, at its sole discretion, in disputes between Clients and BRAINs, as further described in these Terms & Conditions, you agree to absolve the Company of any responsibility and liability in respect of disputes with any BRAIN.

If you choose to provide any user-generated content on the Website, you thereby grant the Company a non-exclusive, limited, and worldwide license to distribute and publish such content on the Website. You may withdraw such content at any time upon notice to the Company. The Company will take down any such content within a reasonable period of time, and, in any event, within 30 days of receipt of such notice of withdrawal. You are encouraged to read our Privacy Policy before submitting any information or registering for use of the Website, as the Privacy Policy constitutes part of this Agreement.

You indemnify and hold the Company harmless from any damages, losses, and costs, including, but not limited to, reasonable attorneys' fees incurred relating to third party claims as a result of your breach of these Terms and Conditions, your submission of content to the Website, or any other actions or omissions in respect of the Website.

If you believe that, for any reason, you may or must act in a way that is contrary to these Terms and Conditions, you are obligated to provide the Company with prior written notice and the details thereof, and you agree to allow the Company adequate time to propose an alternative remedy that complies with applicable law in such instance.

2. Rights and Obligations of the Company

Through the Website, the Company seeks to match Clients and BRAINs of personal and professional services. When a Client or BRAIN registers for use of the Website, such person or entity is required to provide certain requested information about such person or entity. The Company makes no independent verification of the accuracy or reliability of such information other than to review whether the information is internally consistent with the other data provided by such Client or BRAIN. You are solely responsible for your interactions with other users of the Website. The Company may also limit or forbid your use of the Website and the Services, and may limit or prohibit your contacting other users of the Website. The Company may, at its sole discretion, monitor disputes between users of the Website, and, more specifically, between Clients and BRAINs, but has no obligation to do so.

The Company may update, change, or discontinue the Website at any time and at its sole discretion. Any such update, change, or discontinuance shall be effective upon its posting on the Website or being otherwise communicated. The Company permits you to access and use the Website at any given time as it exists at such time, and has no other obligations other than those provided in these Terms and Conditions.

All rights not expressly granted in these Terms and Conditions are reserved to the Company, including, but not limited to, intellectual property and other rights and interest in the Website.

The Company reserves the right to refuse, discard or remove any user-generated content or any other content or information provided by the user of the Website without notice to such user. The Company has no obligation to store, maintain or provide copies of any content or information provided by the Client when using the Services.

The Website may include links to third party websites that are made available from time to time on the Website. The Company does not endorse, recommend, or evaluate products or materials made available through such websites, and is not liable for the use thereof by users of the Website. If you leave the Website by accessing such third party website, you do so at your own risk, and these Terms and Conditions do not apply to such third party websites.

The Company may send information and notices regarding the Website and the Services to you via the email address that you provide and via other means. You acknowledge and agree that the Company has no liability in respect of record-keeping or the failure to keep accurate records, including the provision of information and notices.

Regardless of our Privacy Policy, the Company may access and disclose the information that you provide to the Company if requested to do so by law or if such action is reasonably necessary to comply with legal process, deal with third party claims, protect the rights of the Company, other users of the Website, or the public at large, and to enforce these Terms and Conditions.

The Company may access and disclose the information that you provide to the Company, notwithstanding the terms of our Privacy Policy, if required to do so by law or if such action is reasonably necessary to comply with legal process, deal appropriately with third-party claims, protect the rights of the Company, other users of the Website, or the public at large, and/or to enforce these Terms and Conditions.

3. Disclaimer of Liability

AS CERTAIN COUNTRIES DO NOT PERMIT THE EXCLUSION OF LIABILITY IN CONSUMER AGREEMENTS, THE FOLLOWING MAY NOT BE APPLICABLE IN YOUR CASE.

TO THE FULLEST EXTENT UNDER APPLICABLE LAW, THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, SECURITY OR ACCURACY. THE COMPANY FURTHERMORE EXPRESSLY DISCLAIMS ALL WARRANTIES FOR INFORMATION POSTED OR TRANSMITTED BY BRAINS. IF A CLIENT CHOOSES TO RELY ON INFORMATION PROVIDED BY A BRAIN, THE CLIENT DOES SO AT THEIR OWN RISK. THE CLIENT SHALL NOT HAVE ANY CLAIM AGAINST THE COMPANY, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, SUB-CONTRACTORS OR AGENTS IN RESPECT OF THE SERVICES RENDERED. IF A CLIENT CHOOSES TO PURCHASE THE SERVICES OF A BRAIN, SUCH PURCHASE OF SERVICES IS AT SUCH CLIENT'S OWN RISK.

NEITHER THE COMPANY, ITS AFFILIATES, NOR THEIR RESPECTIVE OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, SUB-CONTRACTORS AND AGENTS ARE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE OR EXEMPLARY DAMAGES (INCLUDING, BUT NOT LIMITED TO, LOSS OF BUSINESS REVENUE) ARISING FROM THE SERVICES OR ANY PROVISION OF THIS AGREEMENT.

THE COMPANY IS NOT LIABLE FOR ENFORCING ANY AGREEMENT THAT WAS MADE BETWEEN A CLIENT AND A BRAIN IN ANY RESPECT. USERS OF THE WEBSITE AND SERVICES ARE SOLELY RESPONSIBLE FOR ANY AGREEMENT MADE BETWEEN THEM. IN THE EVENT OF A DISPUTE REGARDING ANY TRANSACTION CONDUCTED THROUGH THE WEBSITE, THE USERS OF THE WEBSITE HEREBY RELIEVE THE COMPANY, ITS AFFILIATES, THEIR RESPECTIVE OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, SUB-CONTRACTORS AND AGENTS FROM ALL CLAIMS, ANY AND ALL LOSSES (DIRECT, INDIRECT, INCIDENTAL OR CONSEQUENTIAL), DAMAGES, COSTS AND EXPENSES, INCLUDING, WITHOUT LIMITATION, COURT COSTS AND ATTORNEYS' FEES, WHICH A USER MAY HAVE AGAINST ONE OR MORE OF THE ABOVE.

4. Limitation of Liability

AS CERTAIN COUNTRIES DO NOT PERMIT THE LIMITATION OF LIABILITY IN CONSUMER AGREEMENTS, THE FOLLOWING MAY NOT BE APPLICABLE IN YOUR CASE. THE COMPANY, ITS AFFILIATES, THEIR RESPECTIVE OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, SUB-CONTRACTORS AND AGENTS’ AGGREGATE LIABILITY FOR DIRECT OR INDIRECT DAMAGES ARISING UNDER THIS AGREEMENT SHALL NOT UNDER ANY CIRCUMSTANCES EXCEED THE TOTAL AMOUNT PAID BY ANY CLIENT TO ANY AND ALL BRAINS THROUGH THE WEBSITE IN THE 30 DAYS PRIOR TO THE NOTICE TO THE COMPANY OF THE CLAIM.

5. Termination

The Company may terminate this Agreement at any time without cause, and with or without notice. You, as a Client, may terminate this Agreement with the Company at any time without cause, upon providing notice to the Company of such termination. Upon termination of this Agreement, you shall no longer have access to the Website or the Services. Notwithstanding the foregoing, the Company reserves the right to suspend activity of a user account without terminating this Agreement if there is an outstanding dispute between a Client and BRAIN regarding the provision of services. Such account may be terminated by the Company upon resolution of such dispute.

6. Dispute Resolution between Users of the Website

By agreeing to the Terms & Conditions, you agree to abide by the dispute resolution procedures between users as hereinafter set forth. DIALaBRAIN encourages users to resolve any disputes arising in connection with the use of the Website between themselves. DIALaBRAIN may, however, without any legal obligation to do so, facilitate the resolution of the any dispute between users arising in connection with the use of the Website.

In the event that a user has a dispute in respect of the use of the Website with another user, whether, for example, it is a Client disputing delivery of services by a BRAIN or a BRAIN contesting negative feedback or otherwise (each a “Dispute”), then such user (“Initiator”) shall notify in writing both the other user (“Informee”) as well as DIALaBRAIN of the nature of such dispute and the remedy the Initiator is seeking (“Notification”).

If DIALaBRAIN chooses to facilitate the dispute resolution and the remedy demanded by the Initiator is less than the equivalent of 1000 euros, then the dispute resolution process shall proceed as follows:

Within 10 calendar days of receipt of the Notification, DIALaBRAIN shall request the Informee to submit a written response to the Notification (“Response”), which Response shall be submitted to the Initiator and DIALaBRAIN within 10 calendar days of the receipt of DIALaBRAIN’s request. Within 10 calendar days of

the receipt of the Response by DIALaBRAIN, DIALaBRAIN shall arrange a conference call, via either our web-based video-conferencing or telephone, with the Initiator and Informee. Upon agreement of all parties, the Company may record these discussions. The conference call shall be limited to a maximum period of 30 minutes. Within 5 calendar days of the conference call, DIALaBRAIN shall render its decision on the Dispute (“Decision”), and act accordingly. The Initiator and Informee shall respect the decision of DIALaBRAIN without further recourse. The Company reserves the right to outsource dispute resolution to a third party. All communications, including the Notification, Response, and Decision shall be via email to the relevant email address posted on the Website.

In lieu of or in addition to the foregoing, if the remedy demanded by the Initiator is the equivalent of 1000 euros or more, then, unless otherwise mutually agreed by the Initiator and the Informee, DIALaBRAIN may, at its sole discretion, arrange for an independent third party alternative dispute resolution BRAIN (“ADR BRAIN”) to assist with the resolution of the Dispute. Such alternative dispute resolution process shall be determined by the ADR BRAIN, provided that the alternative dispute resolution proceedings (i) are conducted online, by telephone, or solely based on written submissions; (ii) shall not involve any personal appearance by the Initiator, Informee, or witnesses unless otherwise mutually agreed by the Initiator and Informee; (iii) are accepted as binding on the Initiator and Informee, and provided further that (iv) any judgment on the award rendered by the ADR BRAIN may be entered in any court of competent jurisdiction. The costs of such alternative dispute resolution shall be borne by the Initiator or Informee, or both, as determined by the ADR BRAIN. You hereby agree to submit to the proceedings of and accept any decision rendered by such ADR BRAIN.

C. Miscellaneous

1. Entirety of the Agreement

This Agreement, together with any documents referred to herein, or expressed to be entered into in connection with it, constitutes the entire agreement between the Company and you, as Client, concerning the subject matter thereof, and supersedes all prior agreements or understandings.

2. Modification

The Company may at its sole discretion modify the terms of this Agreement at any time, which modifications shall be effective upon posting on the Website or notification through other means of communication. If you choose not to agree to any such modifications, your sole recourse is to terminate the Agreement with the Company and cease use of the Website and the use of the Services.

3. Waiver

No failure or delay on the part of the Company to exercise any right hereunder shall operate as a waiver thereof, nor shall any single or partial exercise of any right hereunder by the Company preclude any further exercise thereof or the exercise of any other right.

4. Notices

The Company may notify you via posting on the Website, via email or via other means of communication. The Company has no obligation to respond to any notice received.

5. Severability

In the event that any of the provisions of this Agreement are held to be invalid or unenforceable by judicial decision or arbitration award, the remaining provisions hereof shall remain in full effect, and the provisions held or declared invalid or unenforceable shall, wherever feasible, be automatically deemed amended to the extent necessary to permit such provision to avoid such invalidity or unenforceability.

6. Choice of Law

This Agreement shall be subject to and interpreted in accordance with the laws of England and Wales.

7. Dispute Resolution

Any disputes arising out of the performance or the interpretation of this Agreement and that cannot be resolved amicably shall be settled by mediation in accordance with the Centre for Effective Dispute Resolution (“CEDR”) Model Mediation Procedure to be held in English in London, England. The mediator will be nominated by CEDR.

BRAIN terms and conditions

A. General

1. The Website

The website www.dialabrain.com (the “Website”), owned and operated by DIALaBRAIN Ltd., a private limited company organized under the laws of England and Wales (the “Company”), is a web-based forum that matches persons or entities seeking certain personal and professional services (the “Clients”) with the providers, or BRAINs, of those services. These Terms and Conditions apply to those persons or entities that register to use the Website as a BRAIN of services (the “BRAINs,” and each a “BRAIN”). The Terms and Conditions governing use of the Website by Clients can be found here. By registering for use of the Website, the BRAIN agrees to be bound by these Terms and Conditions, as well as the Privacy Policy of the Company (the “Privacy Policy”), which is incorporated herein by reference. You will find the Privacy Policy by clicking here. These Terms and Conditions along with the Privacy Policy constitute the “Agreement” between you, as BRAIN, and the Company.

By registering for use of the Website, you represent that (i) you, if a physical person, have the legal capacity to enter into contract and that you are at least 18 years of age, or, (ii) if the registered user is a legal entity (or other unincorporated group of more than one person), you are legally authorized to represent such entity or group. Please read the entirety of these Terms and Conditions before registering for use of the Website, as use of the Website constitutes a binding agreement between you and the Company. The Company reserves the right to modify these Terms & Conditions without prior notice. Any modifications will be posted on the Website before they come into effect. You are encouraged to read the Terms & Conditions on a regular basis to ensure that you are aware of any modifications. The version of these Terms & Conditions in force at any given date will govern the relationship between you and the Company. If for any reason you do not wish to be bound by or cannot comply with these Terms and Conditions, please do not register for use of the Website.

The Website is owned and operated by the Company. All intellectual property used on the Website is either owned by the Company or an affiliate of the Company, or is licensed from third parties pursuant to a valid license agreement. The Company makes no representation or warranty that the Website will function as intended without interruption or error, and the Company hereby disclaims any and all liability in this respect. In particular, but not by way of limitation, the Company does not make any representations or warranties regarding the proper functioning of any third-party software or platform that the Company uses or relies upon to ensure the full functionalities of the Website.

As a matter of policy, the Website does not accept the offer or provision of the following services: gaming, gambling, or betting (upon payment or without payment), card-reading, Tarot, or other forms of fortune-telling or acting as a so-called “medium” or the equivalent, or religious or other denominational services. Furthermore, the Website does not accept the offer or provision of any services of a sexual nature that would be considered illegal under applicable law. The Company will decide at its own discretion whether any of the foregoing or similar services are being offered on the Website and reserves the right to delete any such services at any time. If you, as a user, notice that any of the foregoing services are being offered on the Website, please notify the Company at your earliest convenience at admin@dialabrain.com.

2. The Services

DIALaBRAIN is designed to allow BRAINs of a variety and range of personal and professional services (including related products) to meet the needs of Clients of such services and to create a marketplace for Clients and BRAINs to come together during a pre-booked “session” the time of which is mutually-agreed (“Session”) through the use of the Website and its video-conferencing facilities (collectively, the “Services”). To register for use of the Website, you must comply with provided requests for information, including, inter alia., the full name of the person (on his or her own behalf or on behalf of an unincorporated group of persons) or entity, address, and email, and, if a legal entity, the legal entity’s or company name and identification number, VAT number, if applicable, and authorised signatories. In addition, all BRAINs will need to provide details of the PayPal account into which the Company can make relevant payments according to these Terms & Conditions. (Click here to establish a PayPal account.) The Company shall use the email address provided by the BRAIN as such BRAIN’s unique identifier. You will also need a password of your own choosing, unless you access the Website via social sign-in, in which case no password is retained for your account. Our obligation to verify the identity and other details of registered users is limited to those set forth hereafter in Rights and Obligations of the Company.

The Company does not verify the credentials and qualifications of the BRAINs and has no obligation to do so beyond those obligations set forth hereafter in Rights and Obligations of the Company. The Company makes no representation or warranty that a BRAIN is willing and/or able to provide services meeting the expectations of the Client or that a BRAIN is qualified for the particular category for which it is registered on the Website. It is the Client’s obligation to independently verify that the BRAIN is competent to render the services such BRAIN purports to be competent to provide. The Company encourages Clients to particularly scrutinize the services offered by BRAINs rendering services in respect of any professions, such as medical doctors, dentists, mental health professionals, lawyers, accountants, etc., to ensure that such BRAINs possess the relevant qualifications necessary to meet the needs of the Client. Towards this end, all BRAINs are requested to complete the relevant form regarding the BRAIN’s profile upon registration on the Website. In that form, each BRAIN is requested to provide relevant details of the BRAIN’s educational and professional qualifications. It is in the BRAIN’s interest to ensure that these details are accurate and up-to-date. See form here.

THE COMPANY DOES NOT ENDORSE, RECOMMEND, VERIFY, EVALUATE OR GUARANTEE ANY SERVICES RENDERED BY BRAINS VIA THE WEBSITE, AND NEITHER THE COMPANY, ITS AFFILIATES, SHAREHOLDERS, DIRECTORS, EMPLOYEES, NOR AGENTS WILL BE LIABLE FOR ANY DAMAGES INCURRED BY A CLIENT OWING TO SUCH CLIENT'S RELIANCE ON ANY SUCH SERVICES RENDERED BY A BRAIN, AND THE BRAIN SHALL HOLD THE COMPANY HARMLESS FOR ANY DAMAGES SOUGHT BY A CLIENT IN RESPECT OF THE BRAIN'S SERVICES. THE CONTRACTUAL RELATIONSHIP REMAINS BETWEEN BRAIN AND CLIENT, AND THE COMPANY DOES NOT ACT, NOR SHOULD IT BE DEEMED TO BE ACTING, AS AN AGENT OF EITHER BRAIN OR CLIENT.

The BRAIN hereby releases and agrees to hold harmless the Company, its affiliates, shareholders, directors, officers, employees, agents, successors, advisors, consultants, and assigns from any and all causes of action and claims of any nature resulting from the acts of any Clients contacted or with whom they otherwise come into contact via the Website.

Clients are required to authorise the payment amount upon the booking of a meeting. Payments shall be taken (captured) only upon the confirmation of the meeting by both Client and BRAIN. Failure to confirm the meeting by either Client or BRAIN voids the authorisation. If the transaction is cross-border, or if a currency conversion is required, the relevant PayPal rates for that date will be used. After the relevant Session has ended, the Company will make the relevant payment to the BRAIN. No fees are payable if the Session lasts less than 90 seconds, as determined by DIALaBRAIN’s webserver UTC clock. In the event of a dispute regarding payment, please see item 6 (Dispute Resolution between Users of the Website) below. If the Session that was booked and confirmed more than 24 hours in advance is cancelled by the Client within 24 hours of the scheduled time in such booking, 33% of the relevant payment will be paid to the BRAIN. If the Client does not appear for the Session, then 33% of the relevant payment will be paid to the BRAIN (“No-Show Fee”), provided that the BRAIN had entered the Session and waited at least 10 minutes beyond the scheduled Session time. However, it the Session was scheduled for less than 10 minutes, and the BRAIN is available for the entire scheduled period, then the BRAIN is entitled to his or her fee for such period. If the Client enters the Session after more than 10 minutes and the BRAIN is still in the Session, then the Session is deemed to commence when the latter of the BRAIN and the Client entered the Session, and the No-Show Fee is not applicable. All payments (including the No-Show Fee and all refunds) are subject to transaction fees imposed by Paypal. As such, Clients agree to bear the Session cost plus the PayPal transaction fees. No withdrawal or refund shall be issued where the e-banking fee is greater than or equal to the requested withdrawal or refund due. In these cases the amounts will accrue.Withdrawals are processed on a daily basis (excluding public holidays and weekends). Typically payments are received within two working days.The Company has no other obligation beyond those obligations set forth hereafter in Rights and Obligations of the Company.

The Website also enables user feedback as well as a recommendation system whereby Clients may recommend BRAINs based on their experience with such BRAINs via the Website. BRAINs hereby release and agree to hold harmless the Company, its affiliates, shareholders, directors, officers, employees, agents, successors, advisors, consultants, and assigns from any and all causes of action and claims of any nature, including, but not limited to defamation, resulting from the acts of any Clients in respect of the user feedback and/or recommendation system enabled by the Website.

B. Specific

1. Rights and Obligations of the BRAIN

Subject to your compliance with these Terms & Conditions, as may be modified from time to time, you have the right, as a registered user, to access the Website, view the information provided thereon, and otherwise use the Services as intended by the Company. Your right to do the foregoing is non-exclusive, limited, revocable, subject to termination by the Company as set forth herein, and cannot be assigned, sub-licensed, or otherwise transferred.

As a registered user of the Website, you must comply with these Terms and Conditions, as may be modified from time to time, as well as applicable law. If you choose to submit information to the Company, you thereby represent and warrant that such information is accurate, and that the submission of such information does not infringe on the rights of any third party. You also have the obligation to keep such information updated at all times to ensure its accuracy. If you believe at any time that any other person or entity is using your identity in a way that you have not authorized, you must immediately inform the Company of such unauthorized use as provided herein. You have the obligation to maintain the security of your password, as chosen by you, and you remain liable for your account activity until you have notified the Company of misuse and have received written confirmation from the Company (by email or otherwise) that it has received such notice. Please note, in this respect, that you should be particularly careful when accessing the Website on a shared computer. The Company accepts no responsibility for the consequences of such unauthorised access.

By using the Website as a BRAIN you agree that (i) you represent and warrant that all information provided by you on the Website is true, accurate, and up-to-date at all times; (ii) you are duly qualified and, as applicable, licensed to provide the services that you purport to provide in the relevant jurisdiction(s) where you provide such services; and (iii) you will provide such services to the best of your ability.

If you choose to use the Services, you have the obligation to transact the services that you provide to any Client via the Website and to accept that any Client pays for such Services directly via the Company, including all applicable taxes. The Company shall pay you, as BRAIN, after deducting the relevant fees, as hereafter set forth.

The fees are as follows: If you, as BRAIN, are an individual or entity (whether incorporated or not) and not paying a monthly subscription (see below), the Company deducts and withholds a 19% commission. If you are a legal entity or other unincorporated group of more than one person and paying a monthly subscription, the Company deducts and withholds a 10% commission. A monthly subscription permits all employees of the legal entity/unincorporated group to access and use the Website. Please note that the monthly subscriptions (available only to legal entities with more than one employee or unincorporated groups) are as follows: (i) if the number of employees/persons is more than 1, but less than 16, then the monthly subscription is £24.95/€29.95/$34.95; (ii) if the number of employees/persons is 16 or more, but less than 51, then the monthly subscription is £69/€79/$99; (iii) if the number of employees/persons is 51 or more, then the monthly subscription is £124.95 /€145/$195. Also, if the Client is classed as a “Referral” (See below) and is associated with you, the BRAIN, then the Company deducts and withholds a 5% commission. (Please note that this discounted commission applies only to persons, legal entities or unincorporated group that you introduce to the Website.) A “Referral” is a Client, associated with only one BRAIN, who registers on the Website using the BRAIN’s personalized “Friendly URL link.” A Friendly URL is a link that navigates anyone that uses it directly to the profile page of the BRAIN(provided that such profile is complete), assuming that the profile is complete. It also contains information as to the identity of the BRAIN. When a user of the Website uses that link, we know that it was the BRAIN that distributed the link and, as such, we are able to give referral status to the user that registers, having used that link to access the Website. As a BRAIN, you will be sent your own “Friendly URL” on the bottom of each email that the Company sends to you. To benefit fully from the link, you should pass it on to existing Client, friends, and colleagues that will navigate directly to your profile on the Website. BRAINs may use that link within their signature file in emails, on other online profiles, such as your LinkedIn, Facebook, blog or company website, or any online promotional material.

The Company acts solely as intermediary in respect of payments, and, therefore, you agree that the Company may deduct and withhold via the Website the relevant amount for the services rendered by you. Services are billed based on the price provided by the BRAIN and the time spent interacting with the Client, based on increments of one (1) minute. Please note that in respect of any Session it is the time tabulated by DIALaBRAIN’s webserver UTC clock that determines the billable amount of time spent during a Session, and which, in turn, is used to establish the relevant invoice. A Session formally begins only when both the Client and the BRAIN are in the Session according to our server logs, and such Session formally ends when either the Client or Provide exits from such Session based on our server logs. You agree to abide by the time for a Session as determined by DIALaBRAIN’s webserver UTC clock. Furthermore, you, as BRAIN, agree not to invoice a Client directly for the Services provided. Subject to the Company’s involvement, at its sole discretion, in disputes between Clients and BRAINs, as further described in these Terms & Conditions, you agree to absolve the Company of any responsibility and liability in respect of disputes with any Client.

If you choose to provide any user-generated content on the Website, including videos, you thereby represent and warrant to the Company that you have the right to do so, and grant the Company a non-exclusive, limited, and worldwide license to distribute and publish such content on the Website. You may withdraw such content at any time upon notice to the Company. The Company will take down any such content within a reasonable period of time, and, in any event, within 30 days of receipt of such notice of withdrawal. You are encouraged to read our Privacy Policy before submitting any information or registering for use of the Website, as the Privacy Policy constitutes part of this Agreement.

The Company has an arrangement with Vimeo LLC (“Vimeo”), an online video sharing platform, to host the video content uploaded by Users of the Website. Vimeo uses high definition video with picture quality that the Company deems suitable for professional use. The only access to user-generated video content is via the Website and not via the website of Vimeo. Hence, the BRAIN may upload video to the Website, and the Company will then upload the video to its private channel hosted by Vimeo via the Company’s private account. The Company requires the Users of the Website to comply with the terms and conditions of Vimeo if the Users are uploading video. Vimeo’s Terms of Service are found here. By uploading video to the Website, you thereby agree to comply with Vimeo’s Terms of Service.

You shall indemnify and hold the Company harmless from any damages, losses, and costs, including, but not limited to, reasonable attorneys' fees, incurred relating to third-party claims as a result of your breach of these Terms and Conditions, your submission of content to the Website, or any other actions or omissions in respect of the Website.

2. Rights and Obligations of the Company

Through the Website, the Company seeks to match Clients and BRAINs of personal and professional services. When a Client or BRAIN registers for use of the Website, such person or entity is required to provide certain requested information about such person or entity. The Company makes no independent verification of the accuracy or reliability of such information other than to review whether the information is internally consistent with the other data provided by such Client or BRAIN. You are solely responsible for your interactions with other users of the Website. The Company may also limit or forbid your use of the Website and the Services, and may limit or prohibit your contacting other users of the Website. The Company may, at its sole discretion, monitor disputes between users of the Website, and, more specifically, between Clients and BRAINs, but has no obligation to do so.

The Company may update, change, or discontinue the Website at any time and at its sole discretion. Any such update, change, or discontinuance shall be effective upon its posting on the Website or being otherwise communicated. The Company permits you to access and use the Website at any given time as it exists at such time, and has no other obligations other than those provided in these Terms and Conditions.

All rights not expressly granted in these Terms and Conditions are reserved to the Company, including, but not limited to, intellectual property and other rights and interest in the Website.

The Company reserves the right to refuse, discard or remove any user-generated content or any other content or information provided by the user of the Website without notice to such user. The Company has no obligation to store, maintain or provide copies of any content or information provided by the BRAIN when rendering the Services.

The Website may include links to third-party websites that are made available from time to time on the Website. The Company does not endorse, recommend, or evaluate products or materials made available through such websites, and is not liable for the use thereof by users of the Website. If you leave the Website by accessing such third-party website, you do so at your own risk, and these Terms and Conditions do not apply to such third-party websites.

By using the Website, you agree that the Company may send information and notices regarding the Website and the Services to you via the email address that you provide and via other means. You acknowledge and agree that the Company has no liability in respect of record-keeping or the failure to keep accurate records, including the provision of information and notices.

The Company may access and disclose the information that you provide to the Company, notwithstanding the terms of our Privacy Policy, if required to do so by law or if such action is reasonably necessary to comply with legal process, deal appropriately with third-party claims, protect the rights of the Company, other users of the Website, or the public at large, and/or to enforce these Terms and Conditions.

THE COMPANY FURTHERMORE EXPRESSLY DISCLAIMS ALL WARRANTIES FOR INFORMATION POSTED OR TRANSMITTED BY BRAINS. IF A CLIENT CHOOSES TO RELY ON INFORMATION PROVIDED BY YOU, AS A BRAIN, THE CLIENT DOES SO AT ITS OWN RISK. THE CLIENT SHALL NOT HAVE ANY CLAIM AGAINST THE COMPANY, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, SUB-CONTRACTORS OR AGENTS IN RESPECT OF THE SERVICES RENDERED. IF A CLIENT CHOOSES TO PURCHASE YOUR SERVICES, AS BRAIN, SUCH PURCHASE OF SERVICES IS AT SUCH CLIENT'S OWN RISK.

NEITHER THE COMPANY, ITS AFFILIATES, NOR THEIR RESPECTIVE OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, SUB-CONTRACTORS AND AGENTS ARE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE OR EXEMPLARY DAMAGES (INCLUDING, BUT NOT LIMITED TO, LOSS OF BUSINESS REVENUE) ARISING FROM THE SERVICES OR ANY PROVISION OF THIS AGREEMENT.

THE COMPANY IS NOT LIABLE FOR ENFORCING ANY AGREEMENT THAT WAS MADE BETWEEN A CLIENT AND A BRAIN IN ANY RESPECT. USERS OF THE WEBSITE AND SERVICES ARE SOLELY RESPONSIBLE FOR ANY AGREEMENT MADE BETWEEN THEM. IN THE EVENT OF A DISPUTE REGARDING ANY TRANSACTION CONDUCTED THROUGH THE WEBSITE, THE USERS OF THE WEBSITE HEREBY RELIEVE THE COMPANY, ITS AFFILIATES, THEIR RESPECTIVE OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, SUB-CONTRACTORS AND AGENTS FROM ALL CLAIMS, ANY AND ALL LOSSES (DIRECT, INDIRECT, INCIDENTAL OR CONSEQUENTIAL), DAMAGES, COSTS AND EXPENSES, INCLUDING, WITHOUT LIMITATION, COURT COSTS AND ATTORNEYS' FEES, WHICH A USER MAY HAVE AGAINST ONE OR MORE OF THE ABOVE.

4. Limitation of Liability

AS CERTAIN COUNTRIES DO NOT PERMIT THE LIMITATION OF LIABILITY IN CONSUMER AGREEMENTS, THE FOLLOWING MAY NOT BE APPLICABLE IN YOUR CASE.

THE COMPANY, ITS AFFILIATES, THEIR RESPECTIVE OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, SUB-CONTRACTORS AND AGENTS’ AGGREGATE LIABILITY FOR DIRECT OR INDIRECT DAMAGES ARISING UNDER THIS AGREEMENT SHALL NOT UNDER ANY CIRCUMSTANCES EXCEED THE TOTAL AMOUNT RECEIVED BY ANY BRAIN FROM ANY AND ALL CLIENTS THROUGH THE WEBSITE IN THE 30 DAYS PRIOR TO THE NOTICE TO THE COMPANY OF THE CLAIM. THE COMPANY FURTHER DISCLAIMS ANY LIABILITY WITH RESPECT TO ANY CLAIM, SUIT OR ACTION BROUGHT BY A CLIENT IN CONNECTION WITH PAYMENT OF SERVICES TO A BRAIN, AND BRAIN AGREES TO INDEMNIFY AND HOLD THE COMPANY HARMLESS IN CONNECTION WITH ANY SUCH CLAIM

5. Termination

The Company may terminate this Agreement at any time without cause, and with or without notice. You, as BRAIN, may terminate this Agreement with the Company at any time without cause, upon providing notice to the Company of such termination. Upon termination of this Agreement, you shall no longer have access to the Website or the Services. Notwithstanding the foregoing, the Company reserves the right to suspend activity of a user account without terminating this Agreement if there is an outstanding dispute between a Client and BRAIN regarding the provision of services. Such account may be terminated by the Company upon resolution of such dispute.

6. Dispute Resolution between Users of the Website

By agreeing to the Terms & Conditions, you agree to abide by the dispute resolution procedures between users as hereinafter set forth. DIALaBRAIN encourages users to resolve any disputes arising in connection with the use of the Website between themselves. DIALaBRAIN, may, however, without any legal obligation to do so, facilitate the resolution of the any dispute between users arising in connection with the use of the Website.

In the event that a user has a dispute in respect of the use of the Website with another user, whether, for example, it is a Client disputing delivery of services by a BRAIN or a BRAIN contesting negative feedback or otherwise (each a “Dispute”), then such user (“Initiator”) shall notify in writing both the other user (“Informee”) as well as DIALaBRAIN of the nature of such dispute and the remedy the Initiator is seeking (“Notification”).

If DIALaBRAIN chooses to facilitate the resolution of a Dispute and the remedy demanded by the Initiator is less than the equivalent of 1000 euros, then the dispute resolution process shall proceed as follows:

Within 10 calendar days of receipt of the Notification, DIALaBRAIN shall request the Informee to submit a written response to the Notification (“Response”), which Response shall be submitted to the Initiator and DIALaBRAIN within 10 calendar days of the receipt of DIALaBRAIN’s request. Within 10 calendar days of the receipt of the Response by DIALaBRAIN, DIALaBRAIN shall arrange a conference call, via either our web-based video-conferencing or telephone, with the Initiator and Informee. Upon agreement of all parties, the Company may record these discussions. The conference call shall be limited to a maximum period of 30 minutes. Within 5 calendar days of the conference call, DIALaBRAIN shall render its decision on the Dispute (“Decision”), and act accordingly. The Initiator and Informee shall respect the decision of DIALaBRAIN without further recourse. The Company reserves the right to outsource dispute resolution to a third party.

All communications, including the Notification, Response, and Decision shall be via email to the relevant email address posted on the Website.

If the remedy demanded by the Initiator is the equivalent of 1000 euros or more, then, unless otherwise mutually agreed by the Initiator and the Informee, DIALaBRAIN may arrange for an independent third-party alternative dispute resolution BRAIN (“ADR BRAIN”) to assist with the resolution of the Dispute. Such alternative dispute resolution process shall be determined by the ADR BRAIN, provided that the alternative dispute resolution proceedings (i) are conducted online, by telephone, or solely based on written submissions; (ii) shall not involve any personal appearance by the Initiator, Informee, or witnesses unless otherwise mutually agreed by the Initiator and Informee; (iii) are accepted as binding on the Initiator and Informee, and provided further that (iv) any judgment on the award rendered by the ADR BRAIN may be entered in any court of competent jurisdiction. The costs of such alternative dispute resolution shall be borne by the Initiator or Informee, or both, as determined by the ADR BRAIN. You hereby agree to submit to the proceedings of and accept any decision rendered by such ADR BRAIN.

C. Miscellaneous

1. Entirety of the Agreement

This Agreement, together with any documents referred to herein, or expressed to be entered into in connection with it, constitutes the entire agreement between the Company and you, as BRAIN, concerning the subject matter thereof, and supersedes all prior agreements or understandings.

2. Modification

The Company may at its sole discretion modify the terms of this Agreement at any time, which modifications shall be effective upon posting on the Website or notification through other means of communication. If you choose not to agree to any such modifications, your sole recourse is to terminate the Agreement with the Company and cease use of the Website and the provision of Services.

3. Waiver

No failure or delay on the part of the Company to exercise any right hereunder shall operate as a waiver thereof, nor shall any single or partial exercise of any right hereunder by the Company preclude any further exercise thereof or the exercise of any other right.

4. Notices

The Company may notify you via posting on the Website, via email or via other means of communication. The Company has no obligation to respond to any notice received.

5. Severability

In the event that any of the provisions of this Agreement are held to be invalid or unenforceable by judicial decision or arbitration award, the remaining provisions hereof shall remain in full effect, and the provisions held or declared invalid or unenforceable shall, where feasible, be automatically deemed amended to the extent necessary to permit such provision to avoid such invalidity or unenforceability.

6. Choice of Law

This Agreement shall be subject to and interpreted in accordance with the laws of England and Wales.

7. Dispute Resolution

Any disputes arising out of the performance or the interpretation of this Agreement and that cannot be resolved amicably shall be settled by mediation in accordance with the Centre for Effective Dispute Resolution (“CEDR”) Model Mediation Procedure to be held in English in London, England. The mediator will be nominated by CEDR.

Services Through Our Website
Users provide information during the process of using the DIALaBRAIN service. We break down users of our service into two categories, Clients and BRAINs (you may register as both a Client and a BRAIN). Users are requested to provide contact information, such as name and mailing address and email address registered with PayPal as well as VAT status, if applicable, and country of domicile, in order for DIALaBRAIN to handle invoicing and payments. The information we collect from Clients and BRAINs is to provide our users with the best possible service. If, for any reason, we have any issues with providing that service, we may use the contact information provided to us in order to get in touch with the user
CLIENT - BRAIN Communication Using the DIALaBRAIN Service

The main purpose of DIALaBRAIN is to provide a forum that enables registered BRAINs to provide registered Clients with services that Clients request. DIALaBRAIN hosts live video conversations, email exchanges and scheduling between Clients and BRAINs through its website. In the process, DIALaBRAIN may disclose the full name and other potentially relevant data of its registered users for invoicing and payment purposes, and in the context of DIALaBRAIN affiliate membership schemes, but does not otherwise share information other than what is necessary for the proper execution of the transaction. DIALaBRAIN does not screen or edit the content of communications between Clients and BRAINs, although we and certain of our platform suppliers may have the technical capacity to do so. Such communications are personal and private unless both parties to the communication agree to its further distribution. DIALaBRAIN keeps information relayed between the Client and the BRAIN confidential. No other users of DIALaBRAIN have access to this information.

Certain BRAINs may place on our website their own user-generated content or other links in respect of the services they provide. DIALaBRAIN does not release any personal information regarding our users to such BRAINs or to such linked web sites, which, in any event, are neither affiliated with nor supported by DIALaBRAIN. If you click on any such links, we cannot assume any responsibility for the way such sites handle your personal data or privacy. Clicking on any such links is at the user's own risk.

Security

Your information is stored on our servers currently located in Ireland. We take substantial measures to protect the security of our servers. Despite preventive security measures taken by DIALaBRAIN, it is conceivable that persons may unlawfully intercept or access transmissions or private communications in an effort to abuse or misuse personal information that they collect from our site. Accordingly, DIALaBRAIN assumes no liability for the improper, unauthorised release or misuse of personal information or private communications.
